1. Agreement. These Terms of Use (“Terms”) are an agreement between you and NancyLayneCo, LLC, a Washington limited liability company, PO Box 483, Mukilteo, WA 98275 (“NancyLayneCo,” “we,” “us”), governing your use of layne-staley.com (the “Site”). You accept these Terms when you check the agreement box at checkout or on a submission form, or by continuing to use the Site after notice of them. The following policies are part of these Terms: Privacy Policy, Shop Policy, Fan Submissions Policy and Copyright & DMCA Policy. If you do not agree, do not use the Site.
2. Eligibility. You must be at least 18, or the age of majority where you live, to buy from the Store or submit material. Younger visitors may browse with a parent’s or guardian’s permission.
3. Our content. The Site and its content, including text, images, photographs, designs, logos, recordings and merchandise artwork, are owned by or licensed to NancyLayneCo or the applicable rights holder and are protected by copyright, trademark and publicity laws. We grant you a limited, revocable, non-transferable license to view the Site for personal, non-commercial use. You may not copy, sell, modify, republish or commercially use any content without our written permission.
4. Name, image and likeness. Nothing on the Site grants any right to use Layne Staley’s name, voice, signature, photograph or likeness, which are protected under Washington’s Personality Rights Act (RCW 63.60) and other law. A licensing inquiry does not create a license, option or business relationship; only a written agreement signed by NancyLayneCo does.
5. Prohibited uses. You may not:
- violate any law or any person’s rights;
- access or attempt to access accounts, systems, payment tools or administrative areas without authorization;
- scrape, crawl or harvest content or personal data by automated means;
- use Site content to train, fine-tune or prompt AI models, or to create synthetic voice, music, likeness, deepfakes, NFTs or digital tokens;
- make unauthorized merchandise or imply an endorsement by the estate;
- impersonate the estate, its family or representatives;
- upload malware, spam, or defamatory, harassing or unlawful content.
6. Submissions. Material you submit is governed by the Fan Submissions Policy. You are responsible for what you submit.
7. Purchases. Purchases are governed by the Shop Policy. We may refuse or cancel any order, including for pricing errors or suspected fraud, and will refund any payment for a cancelled order.
8. Third-party sites and services. Links to other sites are provided for convenience. We do not control and are not responsible for them.
9. Informational content. Historical and recovery-related content is for general information only and is not medical, legal or professional advice. See the Recovery Resources Disclaimer.
10. Disclaimer of warranties. The Site and its content are provided “as is” and “as available.” To the extent permitted by law, we disclaim all warranties, express or implied, about the Site, including warranties of accuracy, availability and non-infringement. This section does not limit any warranty or right you have for products you buy, which the Shop Policy and applicable law govern.
11. Limitation of liability. To the extent permitted by law, NancyLayneCo and its members, family representatives, contractors and service providers are not liable for indirect, incidental, special, consequential or punitive damages arising from your use of the Site. Our total liability for any claim relating to the Site or these Terms will not exceed the greater of the amount you paid us in the 12 months before the claim or $100. Nothing in these Terms limits liability that cannot be limited by law.
12. Indemnification. You agree to defend, indemnify and hold harmless NancyLayneCo and its members, contractors and service providers from claims, losses and expenses, including reasonable attorneys’ fees, arising from your submissions, your misuse of the Site or its content, or your violation of these Terms or anyone’s rights.
13. Governing law and venue. These Terms are governed by the laws of the State of Washington, without regard to its conflict-of-law rules. Any dispute will be brought exclusively in the state or federal courts located in King County, Washington, and you and we consent to their jurisdiction. Either party may bring an individual claim in small claims court if it qualifies.
14. Termination. We may suspend or end your access to the Site or any feature if you violate these Terms. Sections 3, 4 and 10 through 15 survive.
15. General terms. If any provision is found unenforceable, the rest remains in effect. These Terms and the policies they incorporate are the entire agreement about the Site. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them to a successor entity. We may update these Terms by posting a new version with a new effective date; changes do not apply to orders placed before they take effect.
